ValoResearch, Inc. (VRL) is a non-public, internal-only research entity of its parent institution. Its materials and communications are proprietary and intended solely for authorized use by VRL personnel. All data, reports, software and other content are provided under license for internal research use only. Any form of external distribution, publication, or commercial exploitation of VRL materials is strictly prohibited unless explicitly approved in writing. These disclosures are not offers, advice, or recommendations, and access does not create any lawyer–client or fiduciary relationship.

Authorized Use and Restrictions

• Internal Use License: VRL content is licensed (not sold) on an internal-use basis. Authorized users may download or access one copy of each item for their own personal, non-commercial research activities. This license is limited: it is not a transfer of title and confers no ownership of the material.
• Prohibited Activities: Users must not alter, copy, distribute, sell, lease, sublicense or publicly display any VRL content, nor remove proprietary notices. Content may not be shared outside VRL or its parent without explicit permission. For example, users agree to restrict copies to personal use and not share content without a license.
• Commercial Use Prohibited: VRL materials may not be used to develop commercial products or services for third parties without a formal agreement.

Intellectual Property Rights

• VRL Ownership: All intellectual property (patents, copyrights, trade secrets, software, data, etc.) from VRL’s research is owned by VRL or its parent. No rights beyond the internal-use license are granted. No implied licenses under any patents, trademarks, or copyrights are provided.
• Third-Party Content: Third-party materials included in VRL content remain the property of their owners. VRL personnel must respect all external IP rights and comply with third-party licenses.
• Limited Research License: VRL may grant limited internal research IP licenses for collaborative projects, typically non-exclusive, non-transferable, royalty-free, and strictly internal. Broader commercial uses require separate written agreements.

Disclaimer of Warranties and Limitation of Liability

• No Warranty: VRL provides all materials “as is” with no express or implied warranties. Users assume all risk in relying on VRL content.
• Limitation of Liability: VRL and its parent are not liable for any errors, omissions, or damages arising from use of VRL content, including indirect or consequential damages.

Compliance, Governing Law and Disclaimer

ValoResearch, Inc. complies with all applicable laws, regulations and institutional policies (export controls, data protection, confidentiality, non-discrimination). VRL content is informational only and does not constitute legal, tax, or professional advice.

Accessing VRL materials does not create any attorney-client or advisory relationship. VRL personnel must ensure any external communication or use of VRL technology complies with all relevant laws and policies.
